By accessing our website, requesting a consultation, submitting a form, making payment, approving a proposal, or using our services, you agree to be legally bound by these Terms.

Services may be modified, updated, or discontinued at our discretion.

3. Consultation & Discovery Phase

Before project execution, Netsaarthi may conduct:

  • Discovery calls
  • Business analysis
  • Requirement gathering
  • Competitor analysis
  • Strategy discussions
  • Project planning

The purpose of this phase is to determine project suitability and define requirements. Consultation does not guarantee project acceptance.

4. Project Proposal & Blueprint

Before development begins, Netsaarthi will create a Project Proposal and Blueprint that may include:

  • Sitemap
  • Page Structure
  • Wireframes
  • User Flows
  • Features
  • Integrations
  • Functional Requirements
  • Design Direction
  • Content Structure
  • Development Scope

The Blueprint serves as the official project scope document.

5. Approval Phase

The client will be provided with the proposed blueprint and project structure for review.

The client may request revisions during the planning period.

Once the client approves the blueprint in writing via:

  • Email
  • WhatsApp
  • Signed document
  • Project management platform

the project scope becomes finalized. After approval, development begins.

Any modifications requested after approval may require:

  • Additional cost
  • Additional timeline
  • New project phase

6. Three-Day Review & Refund Window

Netsaarthi offers a limited review period before development begins.

After the initial payment is received:

  • We begin strategy and planning.
  • A blueprint/mockup/prototype is prepared.
  • The client receives the proposed project structure.

The client has up to 3 calendar days after receiving the blueprint to:

  • Request cancellation
  • Request a refund
  • Decline the proposed direction

To request a refund, the client must:

  • Submit the request via email
  • Provide constructive feedback regarding the cancellation

If approved, Netsaarthi may issue a refund after deducting applicable payment gateway, banking, transaction, or administrative charges.

After the 3-day review period expires, all payments become non-refundable.

7. Payment Terms

Projects typically follow milestone-based payments.

Typical structures include:

  • 50% Advance
  • 30% Midway
  • 20% Before Launch

Custom milestone structures depending on project complexity.

Work may be paused if invoices remain unpaid.

Late payments may result in:

  • Project suspension
  • Delayed delivery
  • Access restrictions

8. Scope Changes

Any request outside the approved blueprint is considered additional work. Examples include:

  • Additional pages
  • New features
  • Design changes
  • Third-party integrations
  • New automation systems

Additional work may require:

  • Revised quotation
  • New timeline
  • Separate invoice

9. Client Responsibilities

The client agrees to provide:

  • Required content
  • Branding assets
  • Images
  • Product information
  • Credentials
  • Timely approvals
  • Feedback

Project delays caused by the client may extend delivery timelines.

Netsaarthi shall not be responsible for delays resulting from missing client information.

10. Intellectual Property

Until full payment is received:

  • All designs
  • Source files
  • Code
  • Graphics
  • Documents
  • Assets

remain the property of Netsaarthi.

Upon full payment:

  • Ownership of the final deliverables transfers to the client unless otherwise agreed.
  • Third-party software remains governed by its respective license.

Netsaarthi retains the right to display completed projects within:

  • Portfolio
  • Marketing materials
  • Social media
  • Case studies

unless otherwise agreed in writing.

11. Third-Party Services

Projects may involve third-party providers including:

  • Hosting providers
  • Domain registrars
  • Payment gateways
  • APIs
  • Plugins
  • SaaS platforms

Netsaarthi is not responsible for:

  • Service outages
  • Policy changes
  • Security incidents
  • Price increases
  • Technical failures

caused by third-party providers.

12. Project Timelines

Estimated timelines are provided for planning purposes.

Actual timelines may vary due to:

  • Scope changes
  • Delayed client feedback
  • Third-party dependencies
  • Technical complexities

Project timelines are estimates, not guarantees.

13. Support & Maintenance

Unless otherwise stated: Ongoing maintenance is not included with project delivery.

Support plans may include:

  • Website updates
  • Security monitoring
  • Performance optimization
  • Bug fixes
  • Technical assistance

Support services may require separate agreements.

14. Acceptable Conduct

Clients must maintain professional communication.

Netsaarthi reserves the right to terminate services if a client engages in:

  • Abuse
  • Harassment
  • Threats
  • Hate speech
  • Fraudulent activity
  • Defamation
  • Unreasonable or disruptive conduct

In such cases:

  • The project may be terminated immediately.
  • Completed work may be delivered.
  • Refunds will not be issued.

15. Limitation of Liability

Netsaarthi shall not be liable for:

  • Lost profits
  • Lost business opportunities
  • Data loss
  • Revenue loss
  • Indirect damages
  • Consequential damages

Our maximum liability shall not exceed the amount paid by the client for the specific project.

16. No Performance Guarantees

While we aim to create high-performing digital systems, Netsaarthi does not guarantee:

  • Specific revenue
  • Search rankings
  • Lead volume
  • Business growth
  • Sales results

Business outcomes depend on many factors beyond our control.

17. Confidentiality

Both parties agree to keep confidential information private. Confidential information includes:

  • Business plans
  • Customer information
  • Internal processes
  • Pricing
  • Technical documents
  • Proprietary information

Additional confidentiality obligations may be governed by a separate NDA.

18. Termination

Either party may terminate a project under reasonable circumstances.

Upon termination:

  • Payments for completed work remain due.
  • Approved milestones remain payable.
  • Completed deliverables may be provided based on payment status.

19. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Bhopal, Madhya Pradesh, India.

20. Changes to These Terms

Netsaarthi reserves the right to modify these Terms at any time. Updated versions will be published on our website. Continued use of our services constitutes acceptance of any revisions.
